यस निर्देशनको अधीनमा रही इजाजतपत्रप्राप्त संस्थाले देहायबमोजिम आफ्नो सहायक कम्पनीको रुपमा लगानी गर्न सक्नेछन् :
(१) “घ” वर्गको लघुवित्त वित्तीय संस्थासम्बन्धी व्यवस्था
(क) इजाजतपत्रप्राप्त संस्थाले देहायका नीतिगत तथा प्रक्रियागत व्यवस्थाहरुको अधीनमा रही आफ्नो स्वामित्वमा सहायक कम्पनी (Subsidiary Company) को रुपमा एउटा छुट्टै “घ” वर्गको लघुवित्त वित्तीय संस्था खोली सो लघुवित्त वित्तीय संस्था मार्फत विपन्न वर्गमा प्रवाह गर्नुपर्ने गरी लगानी गर्न सक्नेछन् ।
१. मुख्य कम्पनीले आफ्नो वित्तीय विवरण पेश गर्दा सहायक कम्पनीको वित्तीय विवरणहरु पनि एकीकृत (Consolidated) रुपमा पेश गर्नु पर्नेछ । सो प्रयोजनार्थ लेखा नीति र वित्तीय विवरण इ.प्रा.निर्देशन नं. ४ को सम्बन्धित थप अनुसूचीमा तोकिए बमोजिम पेश गर्नु पर्नेछ । साथै, सहायक कम्पनीको लेखा नीति, सूचना प्रविधि तथा अन्य नीति/प्रणालीहरु (Policies, Procedures and Systems) मुख्य कम्पनीसँग सामञ्जस्यता कायम हुने गरी व्यवस्था गर्नु पर्नेछ ।
२. आफ्नो तथा सहायक कम्पनीको पुँजी पर्याप्तता सम्बन्धी गणना छुट्टाछुट्टै रुपमा र एकीकृत (Consolidated) रुपमा समेत तयार गर्नु पर्नेछ । एकीकृत (Consolidated) रुपमा गणना गरिने पुँजीकोष सम्बन्धित वर्गका वित्तीय संस्थालाई तोकिएबमोजिमको मापदण्ड एवम् निर्देशन अनुरुप नै हुनु पर्नेछ ।
३. मुख्य तथा सहायक कम्पनी बीच हुने कारोबार प्रतिस्पर्धात्मक बजार मूल्य (Arm's Length Transaction) मा आधारित हुनु पर्नेछ । मुख्य तथा सहायक कम्पनी बीच हुने कारोबारमा पारदर्शिता कायम राख्न यी कम्पनीहरु बीच हुने कारोबारमा वित्तीय स्वार्थ हुने हुँदा त्यस्तो कारोबारलाई दुवै कम्पनीले सम्बन्धित पक्ष बीच हुने कारोबार (Related Party Transactions) शीर्षक अन्तर्गत खुलाउनु (Disclose) पर्नेछ ।
४. त्यस्तो कारोबार भएपछिको नियमितरुपमा प्रकाशित गर्नु पर्ने वित्तीय विवरणमा सो कारोबारको सम्बन्धमा निरन्तर जानकारी प्रदान गर्नु पर्नेछ । प्रतिस्पर्धात्मक बजार मूल्यमा कारोबार नगरेमा वा त्यस्तो कारोबार बारेमा विस्तृत विवरण निर्देशनानुसार प्रकाशित नगरेमा नेपाल राष्ट्र बैंक ऐन, २०५८ को दफा ९९ र १०० बमोजिम जुनसुकै जरिवाना र सजाय हुन सक्नेछ ।
५. शाखा/कार्यालय स्थापना तथा सञ्चालनका सम्बन्धमा यस बैंकबाट जारी निर्देशन नं. १४ बमोजिमका देहायका व्यवस्था सहायक कम्पनी स्थापना गर्ने प्रयोजनमा पनि लागू हुनेछ ।
(अ) तोकिएको न्यूनतम चुक्ता पुँजी पूरा गरेको ।
(आ) अघिल्लो महिनाको वित्तीय विवरणमा यस बैंकले तोकेको पुँजीकोष अनुपात पूरा गरेको ।
(इ) अघिल्लो त्रैमासमा निष्क्रिय कर्जा ५ प्रतिशतभन्दा बढी नभएको ।
(ख) “घ” वर्गको लघुवित्त वित्तीय संस्था (सहायक कम्पनी) मा गरेको संस्थापक शेयर लगानी तथा कर्जा प्रवाहलाई यस बैंकको निर्देशन बमोजिम विपन्न वर्ग कर्जा अन्तर्गत गणना गर्न सकिने छ ।
(ग) “घ” वर्गको वित्तीय संस्थामा गरेको संस्थापक शेयर लगानी रकमलाई प्राथमिक पुँजीबाट घटाई पुँजीकोष कायम गर्नु पर्ने विद्यमान प्रावधानलाई विपन्न वर्गमा हुने लगानीलाई प्रोत्साहित गर्न यस प्रयोजनार्थ छुट दिइने छ । साथै, सहायक कम्पनीका रुपमा स्थापित भई लघुवित्त कारोबार गर्ने “घ” वर्गको वित्तीय संस्थामा लगानी भई वित्तीय स्वार्थ स्थापित भएको खण्डमा समेत वित्तीय स्वार्थ भएको संगठित संस्थाहरुमा गरिएको शेयर लगानी रकमलाई प्राथमिक पुँजीबाट घटाउनु पर्ने विद्यमान प्रावधानलाई पनि छुट दिइने छ ।
(२) मर्चेन्ट बैंकिङ सम्बन्धी कार्य गर्ने सहायक कम्पनी स्थापना सम्बन्धी व्यवस्था
इजाजतपत्रप्राप्त संस्थाले छुट्टै सहायक कम्पनीमार्फत नेपाल धितोपत्र बोर्डबाट अनुमति लिई लगानी सम्बन्धी प्रचलित कानूनी व्यवस्था तथा विद्यमान नीतिगत व्यवस्थाको अधीनमा रही मर्चेन्ट बैंकिङ सम्बन्धी कार्य गर्न कम्तीमा ५१ प्रतिशत स्वामित्व हुने गरी सहायक कम्पनी (Subsidiary Company) मा लगानी गरी सञ्चालन गर्न सक्ने व्यवस्था सम्बन्धमा देहायबमोजिमको नीतिगत व्यवस्था कायम गरिएको छ ।
(क) मर्चेन्ट बैंकिङसम्बन्धी कार्य गर्ने छुट्टै सहायक कम्पनीमा लगानी गर्दा वित्तीय स्वार्थ स्थापित हुने भएकोले उक्त सहायक कम्पनीमा गरिएको कुल लगानी रकमलाई पुँजीकोष गणना गर्दा प्राथमिक पुँजीबाट घटाई पुँजीकोष कायम गर्नु पर्नेछ ।
(ख) मर्चेन्ट बैंकिङ सम्बन्धी कार्य गर्ने सहायक कम्पनी स्थापना प्रयोजनका लागि वाणिज्य बैंकले संगठित संस्थाहरुको शेयर तथा डिबेञ्चरमा लगानी गर्दा लगानी हुने संस्थाको चुक्ता पुँजीको अधिकतम १० प्रतिशतको सीमामा छुट प्रदान गरिएको छ ।
(ग) सहायक कम्पनीको नियमन, निरीक्षण, सुपरिवेक्षण र अन्य व्यवस्थाहरु नेपाल धितोपत्र बोर्डले तय गरेको नीति निर्देशन तथा विद्यमान अन्य व्यवस्था अनुरुप हुनेछ । यस व्यवस्थाबाट उक्त सहायक कम्पनीमा नेपाल राष्ट्र बैंकको तर्फबाट आवश्यकता अनुसार निरीक्षण/सुपरिवेक्षण गर्न बाधा पुगेको मानिने छैन ।
(घ) इजाजतपत्रप्राप्त संस्थाले आफ्नो वित्तीय विवरण पेश गर्दा सहायक कम्पनीको वित्तीय विवरणहरु समेत एकीकृतरुपमा पेश गर्नु पर्नेछ । सो प्रयोजनार्थ लेखा नीति र वित्तीय विवरण इ.प्रा. निर्देशन नं. ४ मा तोकिएबमोजिम पेश गर्नु पर्नेछ ।
(ङ) इजाजतपत्रप्राप्त संस्था तथा सहायक कम्पनी बीच हुने कारोबारमा वित्तीय स्वार्थ हुने हुँदा त्यस्तो कारोबारलाई दुवै कम्पनीले सम्बन्धित पक्ष बीच हुने कारोबार (Related Party Transactions) शीर्षक अन्तर्गत उल्लेख (Disclose) गर्नुपर्नेछ । त्यस्तो कारोबार भएपछि नियमितरुपमा प्रकाशित गर्नु पर्ने वित्तीय विवरणमा सो कारोबारबारे विस्तृत जानकारी प्रदान गर्नु पर्नेछ । प्रतिस्पर्धात्मक बजार मूल्यमा कारोबार नगरेमा र/वा त्यस्तो कारोबार बारे विस्तृत विवरण निर्देशनानुसार प्रकाशित नगरेमा नेपाल राष्ट्र बैंक ऐन, २०५८ को दफा ९९ र १०० बमोजिम जुनसुकै जरिवाना र सजाय हुन सक्नेछ ।
(च) सहायक कम्पनीले देहायका कार्य गर्न सक्ने छैन :
(अ) धितोपत्र दलाली सम्बन्धी व्यवसाय,
(आ) आफूले जारी गरेको वा आफ्नो मुख्य कम्पनीले जारी गरेको धितोपत्रको कारोबार ।
(छ) सहायक कम्पनीले वित्तीय स्रोत संकलन गर्ने प्रयोजनले दायित्व स्वरुप निष्काशन गर्ने कुनै पनि सुरक्षणपत्रहरुमा मुख्य कम्पनी (Parent Company) ले लगानी गर्न नपाउने र सो सुरक्षणपत्रको धितोमा कर्जा प्रवाह गर्न समेत पाउने छैन ।
(ज) इजाजतपत्रप्राप्त संस्थाले सञ्चालनमा रहेको मर्चेन्ट बैंकिङ सम्बन्धी कार्य गर्ने कुनै कम्पनीको शेयरमा लगानी/खरिद गरी सहायक कम्पनी बनाउने सम्बन्धमा देहायका व्यवस्थाहरु गरिएको छ:-
१. सञ्चालनमा रहेको मर्चेन्ट बैंकिङ सम्बन्धी कार्य गर्ने कुनै कम्पनीको शेयरमा लगानी/खरिद गरी सहायक कम्पनी बनाउन यस बैंकको स्वीकृति लिनु पर्नेछ ।
२. यस बैंकको स्वीकृतिका लागि निवेदन दिंदा देहायको कागजात समेत पेश गर्नु पर्नेछ ।
(अ) सहायक कम्पनी बन्ने/बनाउने सम्बन्धमा भएका दुवै संस्थाको निर्णय,
(आ) कुनै समझदारीपत्र (एम.ओ.यू) भए त्यस्तो समझदारीपत्र,
(इ) प्रस्तावित सहायक कम्पनीको चल अचल सम्पत्ति तथा दायित्वको पछिल्लो यथार्थ विवरणको मूल्याङ्कन प्रतिवेदन,
(ई) लगानी रकम निर्धारण सम्बन्धी आधार तथा सो सम्बन्धी निर्णयको प्रतिलिपी, र
(उ) पछिल्लो आर्थिक वर्षको लेखापरीक्षण भएको वासलात, नाफा-नोक्सान हिसाब, नगद प्रवाह विवरण लगायतका वित्तीय विवरण ।
(३) धितोपत्र व्यवसायी सम्बन्धी कार्य गर्ने सहायक कम्पनी स्थापना सम्बन्धी व्यवस्था
प्रचलित धितोपत्र सम्बन्धी ऐन, नियम र कानूनी व्यवस्था तथा विद्यमान नीतिगत व्यवस्थाको अधीनमा रही वाणिज्य बैंकले छुट्टै सहायक कम्पनी मार्फत नेपाल धितोपत्र बोर्डबाट अनुमति लिई धितोपत्र व्यवसायी सम्बन्धी कार्य गर्न कम्तीमा ५१ प्रतिशत स्वामित्व हुने गरी सहायक कम्पनी (Subsidiary Company) मा लगानी गरी सञ्चालन गर्न सक्ने व्यवस्थाका सम्बन्धमा देहायबमोजिमको नीतिगत व्यवस्था कायम गरिएको छ ।
(क) धितोपत्र व्यवसायी सम्बन्धी कार्य गर्ने छुट्टै सहायक कम्पनीमा लगानी गर्दा वित्तीय स्वार्थ स्थापित हुने भएकोले उक्त सहायक कम्पनीमा गरिएको कुल लगानी रकमलाई पुँजीकोष गणना गर्दा प्राथमिक पुँजीबाट घटाई पुँजीकोष कायम गर्नु पर्नेछ ।
(ख) धितोपत्र व्यवसायी सम्बन्धी कार्य गर्ने सहायक कम्पनी स्थापना प्रयोजनका लागि वाणिज्य बैंकले संगठित संस्थाहरुको शेयर तथा डिबेञ्चरमा लगानी गर्दा लगानी हुने संस्थाको चुक्ता पुँजीको अधिकतम १० प्रतिशतको सीमामा छुट प्रदान गरिएको छ ।
(ग) सहायक कम्पनीको नियमन, निरीक्षण, सुपरिवेक्षण र अन्य व्यवस्थाहरु नेपाल धितोपत्र बोर्डले तय गरेको नीति निर्देशन तथा विद्यमान अन्य व्यवस्था अनुरुप हुनेछ । यस व्यवस्थाबाट उक्त सहायक कम्पनीमा नेपाल राष्ट्र बैंकको तर्फबाट आवश्यकता अनुसार निरीक्षण/सुपरिवेक्षण गर्न बाधा पुगेको मानिने छैन ।
(घ) वाणिज्य बैंकले आफ्नो वित्तीय विवरण पेश गर्दा सहायक कम्पनीको वित्तीय विवरणहरु समेत एकीकृतरुपमा पेश गर्नु पर्नेछ । सो प्रयोजनार्थ लेखा नीति र वित्तीय विवरण इ.प्रा. निर्देशन नं. ४ मा तोकिएबमोजिम पेश गर्नु पर्नेछ ।
(ङ) वाणिज्य बैंक तथा सहायक कम्पनी बीच हुने कारोबारमा वित्तीय स्वार्थ हुने हुँदा त्यस्तो कारोबारलाई दुवै कम्पनीले सम्बन्धित पक्ष बीच हुने कारोबार (Related Party Transactions) शीर्षक अन्तर्गत उल्लेख (Disclose) गर्नुपर्नेछ । त्यस्तो कारोबार भएपछि नियमितरुपमा प्रकाशित गर्नु पर्ने वित्तीय विवरणमा सो कारोबारबारे विस्तृत जानकारी प्रदान गर्नु पर्नेछ । प्रतिस्पर्धात्मक बजार मूल्यमा कारोबार नगरेमा र/वा त्यस्तो कारोबार बारे विस्तृत विवरण निर्देशनानुसार प्रकाशित नगरेमा नेपाल राष्ट्र बैंक ऐन, २०५८ को दफा ९९ र १०० बमोजिम जुनसुकै जरिवाना र सजाय हुन सक्नेछ ।
(च) सहायक कम्पनीले आफूले जारी गरेको वा आफ्नो मुख्य कम्पनीले जारी गरेको धितोपत्रको कारोबार गर्न सक्ने छैन ।
(छ) सहायक कम्पनीले वित्तीय स्रोत संकलन गर्ने प्रयोजनले दायित्व स्वरुप निष्काशन गर्ने कुनै पनि सुरक्षणपत्रहरुमा मुख्य कम्पनी (Parent Company) ले लगानी गर्न नपाउने र सो सुरक्षणपत्रको धितोमा कर्जा प्रवाह गर्न समेत पाउने छैन ।
(ज) धितोपत्र व्यवसायी सम्बन्धी कार्य गर्ने सहायक कम्पनीले धितोपत्र व्यवसाय बाहेक अन्य कार्य गर्न सक्ने छैन ।
(४) सामूहिक लगानी कोष सञ्चालन गर्ने सम्बन्धमा
बैंक तथा वित्तीय संस्था सम्बन्धी ऐन, २०७३ को दफा ४९ को उपदफा (१) को खण्ड (ग) को प्रयोजनका लागि देहायका शर्तको अधीनमा रही यस बैंकबाट इजाजतपत्रप्राप्त बैंक तथा वित्तीय संस्थाले सहायक कम्पनी मार्फत सामूहिक लगानी कोष सञ्चालन गर्न सक्ने छन् ।
शर्तहरु:
(१) योजना व्यवस्थापनसँग सम्बन्धित कार्यका लागि सहायक कम्पनी खडा गर्नुपर्ने र त्यस्तो कम्पनी खडा गर्दा हुन गएको लगानीलाई यस बैंकले तोके अनुसारको जोखिम भार प्रदान गर्ने ।
(२) वित्तीय कारोबार सञ्चालन भएको पाँच वर्ष पूरा भएको हुनु पर्ने ।
(३) पछिल्लो तीन वर्षदेखि लगातार मुनाफा गरिरहेकोका साथै सञ्चित नोक्सानीमा नरहेको हुनु पर्ने ।
(४) नेटवर्थ धनात्मक हुनु पर्ने ।
(५) सञ्चालक वा कार्यकारी प्रमुख यस बैंकको कारवाहीमा नपरेको र त्यस्तो कारवाहीमा परेको भए सो फुकुवा भएको ३ वर्ष पुगेको हुनु पर्ने ।
Controlled English translation
Subject to this Directive, a licensed institution may invest in its subsidiary companies as follows:
(1) Provisions Relating to a Class “D” Microfinance Financial Institution
(a) Subject to the following policy and procedural arrangements, a licensed institution may establish under its ownership a separate Class “D” microfinance financial institution as a Subsidiary Company and make investment through such microfinance financial institution for lending to the deprived sector.
1. When the parent company submits its financial statements, the financial statements of the subsidiary company shall also be submitted on a Consolidated basis. For this purpose, accounting policies and financial statements shall be submitted as prescribed in the relevant additional schedule to Directive No. 4. In addition, the accounting policies, information technology and other policies/systems (Policies, Procedures and Systems) of the subsidiary company shall be arranged so as to maintain consistency with those of the parent company.
2. Capital-adequacy calculations for the parent and subsidiary company shall be prepared separately as well as on a Consolidated basis. The capital fund calculated on a Consolidated basis shall be in accordance with the standards and directives prescribed for the relevant class of financial institution.
3. Transactions between the parent and subsidiary company shall be based on competitive market value (Arm's Length Transaction). As transactions between the parent and subsidiary company involve a financial interest, both companies shall, in order to maintain transparency, disclose such transactions under the heading Related Party Transactions.
4. After such a transaction takes place, continuous information concerning the transaction shall be provided in the financial statements required to be published regularly. If transactions are not carried out at competitive market value or detailed particulars of such transactions are not published in accordance with the Directive, any fine and punishment may be imposed pursuant to Sections 99 and 100 of the Nepal Rastra Bank Act, 2058.
5. The following provisions of Directive No. 14 issued by this Bank relating to establishment and operation of branches/offices shall also apply for the purpose of establishing a subsidiary company:
(a) the prescribed minimum paid-up capital has been fulfilled;
(b) the capital-fund ratio prescribed by this Bank has been fulfilled in the financial statements of the previous month; and
(c) non-performing loans in the previous quarter did not exceed 5 percent.
(b) Promoter-share investment and loans made in a Class “D” microfinance financial institution (subsidiary company) may, in accordance with the directives of this Bank, be counted under deprived-sector lending.
(c) For the purpose of encouraging investment in the deprived sector, an exemption shall be granted from the existing provision requiring promoter-share investment in a Class “D” financial institution to be deducted from Tier 1 capital for maintenance of the capital fund. Likewise, even where a financial interest is established by investment in a Class “D” financial institution established as a subsidiary company and carrying on microfinance business, an exemption shall also be granted from the existing provision requiring investment in shares of organised institutions in which a financial interest exists to be deducted from Tier 1 capital.
(2) Provisions Relating to Establishment of a Subsidiary Company to Carry Out Merchant Banking Activities
A policy arrangement as set out below has been maintained in relation to the arrangement under which a licensed institution may, subject to prevailing legal provisions on investment and existing policy arrangements, obtain permission from the Securities Board of Nepal through a separate subsidiary company and invest in and operate a Subsidiary Company with at least 51 percent ownership for carrying out merchant banking activities.
(a) Since a financial interest is established by investing in a separate subsidiary company carrying out merchant banking activities, the total amount invested in such subsidiary company shall be deducted from Tier 1 capital when calculating the capital fund.
(b) For the purpose of establishing a subsidiary company to carry out merchant banking activities, an exemption is granted to a commercial bank from the maximum 10 percent limit of the paid-up capital of the investee institution when investing in shares and debentures of organised institutions.
(c) Regulation, inspection, supervision and other arrangements of the subsidiary company shall be in accordance with the policies, directives and other prevailing arrangements determined by the Securities Board of Nepal. Nothing in this arrangement shall be deemed to prevent Nepal Rastra Bank from carrying out inspection/supervision of such subsidiary company as necessary.
(d) When the licensed institution submits its financial statements, the financial statements of the subsidiary company shall also be submitted on a consolidated basis. For this purpose, accounting policies and financial statements shall be submitted as prescribed in Directive No. 4.
(e) Since transactions between the licensed institution and the subsidiary company involve a financial interest, both companies shall disclose such transactions under the heading Related Party Transactions. After such a transaction takes place, detailed information concerning the transaction shall be provided in the financial statements required to be published regularly. If transactions are not carried out at competitive market value and/or detailed particulars of such transactions are not published in accordance with the Directive, any fine and punishment may be imposed pursuant to Sections 99 and 100 of the Nepal Rastra Bank Act, 2058.
(f) The subsidiary company shall not carry out the following activities:
(i) securities brokerage business;
(ii) transactions in securities issued by itself or by its parent company.
(g) The parent company shall not invest in any securities issued by the subsidiary company in the nature of liabilities for the purpose of mobilising financial resources, nor shall it extend credit against the security of such securities.
(h) The following arrangements apply where a licensed institution invests in/purchases shares of an operating company carrying out merchant banking activities in order to make it a subsidiary company:
1. Approval of this Bank shall be obtained for investing in/purchasing shares of an operating company carrying out merchant banking activities in order to make it a subsidiary company.
2. When applying for approval of this Bank, the following documents shall also be submitted:
(a) decisions of both institutions concerning becoming/making the subsidiary company;
(b) any memorandum of understanding (MOU), if there is one;
(c) a valuation report of the latest true particulars of the movable and immovable assets and liabilities of the proposed subsidiary company;
(d) the basis for determination of the investment amount and a copy of the decision relating thereto; and
(e) the audited balance sheet, profit and loss account, cash-flow statement and other financial statements for the latest fiscal year.
(3) Provisions Relating to Establishment of a Subsidiary Company to Carry Out Securities Dealer Activities
A policy arrangement as set out below has been maintained in relation to the arrangement under which a commercial bank may, subject to prevailing securities laws, rules and legal provisions and existing policy arrangements, obtain permission from the Securities Board of Nepal through a separate subsidiary company and invest in and operate a Subsidiary Company with at least 51 percent ownership for carrying out securities dealer activities.
(a) Since a financial interest is established by investing in a separate subsidiary company carrying out securities dealer activities, the total amount invested in such subsidiary company shall be deducted from Tier 1 capital when calculating the capital fund.
(b) For the purpose of establishing a subsidiary company to carry out securities dealer activities, an exemption is granted to a commercial bank from the maximum 10 percent limit of the paid-up capital of the investee institution when investing in shares and debentures of organised institutions.
(c) Regulation, inspection, supervision and other arrangements of the subsidiary company shall be in accordance with the policies, directives and other prevailing arrangements determined by the Securities Board of Nepal. Nothing in this arrangement shall be deemed to prevent Nepal Rastra Bank from carrying out inspection/supervision of such subsidiary company as necessary.
(d) When the commercial bank submits its financial statements, the financial statements of the subsidiary company shall also be submitted on a consolidated basis. For this purpose, accounting policies and financial statements shall be submitted as prescribed in Directive No. 4.
(e) Since transactions between the commercial bank and the subsidiary company involve a financial interest, both companies shall disclose such transactions under the heading Related Party Transactions. After such a transaction takes place, detailed information concerning the transaction shall be provided in the financial statements required to be published regularly. If transactions are not carried out at competitive market value and/or detailed particulars of such transactions are not published in accordance with the Directive, any fine and punishment may be imposed pursuant to Sections 99 and 100 of the Nepal Rastra Bank Act, 2058.
(f) The subsidiary company shall not carry out transactions in securities issued by itself or by its parent company.
(g) The parent company shall not invest in any securities issued by the subsidiary company in the nature of liabilities for the purpose of mobilising financial resources, nor shall it extend credit against the security of such securities.
(h) A subsidiary company carrying out securities dealer activities shall not carry out any activity other than securities business.
(4) Provisions Relating to Operation of a Collective Investment Fund
For the purpose of Section 49(1)(c) of the Bank and Financial Institution Act, 2073, a bank or financial institution licensed by this Bank may operate a collective investment fund through a subsidiary company subject to the following conditions:
Conditions:
(1) a subsidiary company shall be established for activities relating to scheme management, and the investment made in establishing such company shall be assigned the risk weight prescribed by this Bank;
(2) five years shall have been completed since commencement of financial operations;
(3) it shall have been continuously profitable for the last three years and shall not have accumulated losses;
(4) net worth shall be positive; and
(5) the director or chief executive shall not have been subject to action by this Bank, and if such action was taken, three years shall have elapsed since release from such action.
