Asset Disposals and Capital Gains in Nepal — From Proceeds to Tax Treatment

A disposal working should explain the asset’s tax category, cost, proceeds and collection treatment. The accounting gain is useful evidence, but it is not a substitute for the statutory computation.

1. Identify what has been disposed of

A business machine, investment asset, non-business taxable land or building, share and liability do not share one universal capital-gains computation. Begin with the taxpayer, asset use, ownership, cost history, transaction date and statutory category. Cash received is not automatically the taxable gain, and accounting profit on disposal is not automatically the tax result.

For depreciable business assets, consult Schedule 2 pool rules. For other business or investment assets and liabilities, use the applicable realisation and cost rules. For shares and non-business taxable assets, examine section 95A collection provisions alongside the ultimate assessment and finality rules.

2. Current-year amendments matter

Finance Act 2083 changes section 95A collection rates for specified resident natural-person share and land/building gains, and introduces additional provisions concerning involuntary land acquisition and specified gifts to government. It also amends section 92 finality. A transaction completed in FY 2083/84 must not use a prior-year rate table without checking those changes. This article supplies the calculation sequence; the transaction-specific current rate and holding-period test must be recorded in the reviewed working.

3. Build the disposal working

Gross proceeds and non-cash considerationSale agreement, valuation and bank evidence

Related-party transfers, gifts, exchanges, debt cancellation and ownership changes need specific rules. A zero-cash transfer can have tax consequences. A company ownership change also requires section 57 analysis; the amended exceptions must be read rather than inferred from the commercial label “succession.”

4. Illustrative comparison

A machine is sold for NPR 500,000 and has accounting carrying value of NPR 350,000. The accounting gain is NPR 150,000. If it belongs to a continuing tax pool, the tax working records proceeds and the resulting pool movement under Schedule 2. It does not simply insert NPR 150,000 as a separately taxed capital gain. Assume instead that an investment asset's verified tax cost is NPR 1,200,000 and statutory proceeds are NPR 1,700,000; before permitted adjustments its gain is NPR 500,000. The two workings have different starting rules.

5. Completion controls

Match the transfer date, registration record, consideration and bank receipt. Identify VAT, registration fees and withholding independently. Where tax is collected at registration, preserve the certificate and reconcile it to the finality or credit treatment. Document losses under their own relief rules. Do not offset every capital loss against ordinary business income merely because both appear in the same financial statements.

6. Shares and non-business land: the FY 2083/84 rates

For the specified resident natural-person listed-interest gains, the later Ministry of Finance Gazette notice, volume 76, Additional 40, dated 31 Bhadra 2083, sets 3.75% where held for more than 365 days and 5% where held for 365 days or less. The Finance Act 2083 figures of 7.5% and 10% are the earlier baseline. Use the version applying to the disposal and retain the settlement evidence. For non-business taxable land and buildings, the boundary is different: ownership for five years or more uses 7.5%, while ownership for less than five years uses 10%. Preserve acquisition and disposal dates and the supporting cost record; do not apply the share holding-period boundary to property. Suppose the independently established gain on qualifying non-business land is NPR 800,000. If it has been owned for six years, an illustrative 7.5% collection is NPR 60,000. If the legally relevant ownership period were four years, 10% would produce NPR 80,000. The example assumes a resident natural person, the stated category and a verified gain. It does not determine municipal charges, transfer fees, VAT or special acquisition treatment.

7. Collection does not always settle the return

Finance Act 2083 also changes section 92's final-withholding categories. Establish whether the particular collection is final under the amended provision or a credit requiring inclusion in an annual return. A voucher showing a percentage does not answer that question. Companies, non-residents, unlisted interests and business assets require their own analysis. Where government compulsorily acquires land, or a person transfers property to government without consideration, the Act contains specific provisions added in 2083. Keep the acquisition decision or donation terms with the file and apply those clauses separately. Do not describe every involuntary sale as exempt. A disposal completed in another income year needs that year’s rules even when cash arrives later.
