International Tax

International Tax in Nepal — Residency, Source, PE and Treaty Sequence

A cross-border tax conclusion follows a sequence: residence, income character, source, permanent establishment and domestic treatment, followed by any treaty relief and credit. A foreign address alone does not settle the result.

1. Begin with domestic law

Cross-border tax analysis starts with the taxpayer's residency, nature of income and Nepal-source rules. Then consider a permanent establishment, domestic withholding, treaty eligibility, foreign-tax credit and transfer pricing as applicable. A foreign customer or overseas bank account does not by itself take income outside Nepal taxation.

Treaties may modify domestic outcomes for qualifying persons and income, but the exact treaty, effective status, article and conditions must be established. A recipient's country name is not sufficient evidence for relief.

2. Decision sequence

StepQuestion
Identity/residencyWho earns the income and where is the person resident?
Character/sourceBusiness, employment, royalty, interest, gain or other income?
PresenceDoes domestic law or the treaty create a PE or other taxing connection?
Domestic collectionWhich withholding or advance-tax provision applies?
TreatyIs the recipient eligible and are ownership/other conditions met?
ReconciliationHow is income, tax paid and any credit reported?

Foreign-exchange permission is separate from this tax sequence. A bank permitting remittance does not certify the correct withholding rate, and paying withholding does not authorise every remittance.

3. Nepal example

A Nepal company buys advisory services from a foreign group company. The review identifies where and how services are supplied, domestic source and withholding provisions, any treaty service/business-profit article, PE facts, beneficial ownership where relevant and evidence that the service was received. Related-party pricing is examined separately. The contract may require gross-up, changing the cash and tax arithmetic.

4. Foreign tax and double taxation

A resident receiving foreign income should keep gross income, foreign tax, country, period and exchange-rate evidence. Apply the statutory credit limits and treaty mechanism rather than offsetting every overseas deduction against Nepal tax. A foreign social contribution or fee is not automatically a qualifying income tax.

5. Documentation

Retain contracts, invoices, residency certificates where relevant, service/delivery evidence, travel/site records, tax calculations and payment vouchers. Record the legal version used. Finance Act 2083 adds transfer-pricing definitions, safe-harbour and advance-pricing provisions; a 2024 directive summary must be read with those newer statutory changes.

6. Review trigger

Revisit the analysis when contracts extend, personnel enter Nepal, related-party terms change or an entity restructures. A conclusion reached for one payment does not safely cover every later payment to the same recipient. Complete the domestic analysis first, then document any treaty modification and the evidence supporting it.

7. Start with a complete transaction description

Record the supplier and recipient, contract, place of performance, rights granted, people involved, dates and payment terms. For services, identify what is done in Nepal and what is done abroad. For a licence, describe the rights and territory. For a loan, retain currency, purpose, interest terms and any group relationship. These facts support several tax questions simultaneously, but each conclusion should cite its own provision. A Nepal business paying a foreign related company for software support may need to consider service or royalty character, Nepal source, withholding, imported-service VAT, treaty conditions and transfer pricing. A single certificate confirming the foreign company’s registration cannot establish every result. The bank’s remittance approval is also a separate foreign-exchange decision.

8. Credit and exemption are different results

Section 71 provides the foreign-tax-credit framework for qualifying foreign income. It is applied country by country and is limited by the relevant Nepal average-tax-rate calculation. Do not simply subtract the entire foreign tax from total Nepal tax. Retain the foreign assessment or withholding record and identify the underlying income and year. Tax withheld abroad contrary to a treaty can also require relief in that country instead of an automatic unrestricted Nepal credit. For example, assume an independently reviewed foreign-income base of NPR 1,000,000, foreign tax of NPR 200,000 and an applicable Nepal credit limit of NPR 150,000. The current credit cannot exceed NPR 150,000 merely because the foreign certificate shows NPR 200,000. Any treatment of the excess must follow the statutory carryforward conditions.

9. Keep the conclusions separate

Document whether domestic withholding is final or an advance credit, whether a Nepal PE exists and whether a treaty changes the outcome. Update the analysis when personnel, contract terms or the use of intellectual property changes. A prior-year conclusion based on no Nepal presence cannot automatically govern a year in which a project team works in Nepal.
