Company and OCR Compliance in Nepal — Registration to Annual Filing
A certificate of incorporation establishes a company's registration with the Office of Company Registrar. It does not establish that every tax registration, industry approval, sector licence or foreign-investment permission is complete. Keep the Companies Act and OCR obligations distinct from IRD, local-government, labour and sector requirements. The appropriate company type and its memorandum and articles shape later decisions about shares, directors and meetings.
This overview links the existing detailed company articles rather than duplicating their procedures. OCR's official online-services entry directs relevant company events to CAMIS. Use the current event workflow and documentary requirements at filing time; a portal submission is not the same as an approved alteration in the company's record.
1. Organise the obligations by event
| Stage | Principal work | Record to preserve |
|---|---|---|
| Incorporation | Identity, constitutional documents and registration | Certificate, memorandum and articles |
| Initial operation | Tax and sector registrations, banking and accounting setup | PAN, licences and authorised decisions |
| Ownership and capital events | Subscription, allotment, transfer or increase | Registers, resolutions and accepted filings |
| Governance changes | Director, office or objective changes | Consent, minutes and updated OCR record |
| Annual cycle | Accounts, audit where required, meetings and returns | Signed accounts, minutes and filing acknowledgements |
| Exit | Solvent closure, liquidation or other applicable process | Creditor, tax and OCR completion evidence |
Do not record authorised, issued and paid-up capital as interchangeable figures. A share allotment changes the ownership register; a shareholder's sale transfers existing shares. The legal approvals, tax consequences and supporting documents differ.
2. Practical company file
Maintain the certificate, constitutional documents, latest accepted ownership and director details, statutory registers, board and shareholder minutes, tax records, accounts and auditor documentation in one indexed file. Restrict alteration of signed minutes and preserve earlier versions. Record submission references, requested corrections and final acceptance for each OCR event. Keep personal identity documents secure rather than attaching them to a public website.
A Kathmandu trading company may decide to increase capital to finance expansion. Its finance team should first establish the existing authorised ceiling, issued shares and actual receipts. If the proposed issue exceeds authorised capital, the necessary constitutional and OCR steps precede treating the entire amount as an accepted paid-up increase. A bank deposit alone is not a completed capital event. This sequence is a control example; the exact approval and filing steps depend on the company's documents and current law.
3. Annual work and event work run together
An annual return does not cure an unreported director change, and a director-change filing does not complete the annual obligations. Maintain separate event and annual checklists. Assign an owner and retain acknowledgement evidence for each obligation. Review the relevant meeting and return deadlines for the company type rather than relying on one universal date.
Reconcile the share register to the financial statements, director records to signed minutes and the registered office to current records. Resolve unexplained differences before an investor due-diligence request or annual filing. Beneficial-ownership information may require a separate identification and reporting analysis; a nominee or intermediary on the shareholder list does not by itself answer who ultimately controls the company.
4. Calendar and responsibility
Create a calendar around the company’s financial year and legal form. Public companies hold their first AGM within one year after commencement approval and later AGMs within six months after year-end. Section 76(5) also applies the meeting provisions to private companies whose articles provide for an AGM. The prescribed AGM return is filed within thirty days after the meeting; audited annual financial statements are generally submitted within six months after year-end. Keep the constitution and operative OCR notice with each entry.
Assign a preparer, a person authorised to approve the documents and a person responsible for checking acceptance. For example, a finance officer may prepare the financial-statement upload while a director authorises it and the company administrator follows a correction request. Record all three responsibilities so a departure from the firm does not leave an unowned filing. Mark an item complete when the required filing outcome is evidenced, rather than when a draft was emailed to the director.
Auditor appointment is also an event. OCR guidance requires reporting the appointed auditor's name within fifteen days; the appointment authority depends on company type and the governing documents. This event should not disappear inside a year-end reminder.
5. Before a filing is marked complete
Confirm that the event was authorised, the documents agree, the signatory had authority and the submitted information matches the company's books. Review the portal outcome and preserve accepted documents. The detailed registration, post-registration, annual-return, directors, capital, allotment, share-transfer and closure articles provide the corresponding topic guidance. Professional review of a specific company event remains necessary where its facts or governing documents create uncertainty.
