Audit Opinions, Going Concern, Related Parties and Fraud Risk

An unmodified opinion, qualified opinion, adverse opinion and disclaimer have different bases under the applicable auditing standards. Determine whether the issue concerns misstatement or inability to obtain sufficient appropriate evidence, and assess materiality and pervasiveness. An emphasis-of-matter paragraph is not a substitute for a required modified opinion.

Going concern is assessed through management's evaluation and the auditor's work under the applicable standard. A temporary cash shortage does not automatically mean liquidation, while a profitable business can still face severe liquidity or refinancing risk.

1. Evidence map

RiskEvidence to review
Going concernCash forecasts, financing, covenants and management plans
Related partiesOwnership, control, terms, balances and approvals
FraudIncentives, opportunities, override and unusual transactions
ReportingIdentified effects, disclosures and audit evidence

Management should supply supportable forecasts and disclose relevant uncertainty under the reporting framework. The auditor independently evaluates that information. A representation letter does not replace evidence for material balances or allegations.

2. Nepal example

A company relies on renewal of a major loan that expires soon. Management's forecast assumes renewal but has no lender evidence. The review evaluates available financing, cash sensitivity, plans and disclosure. The reporting outcome depends on facts, evidence and the applicable standards; it cannot be determined merely by labelling the accounts “going concern.”

A director-controlled supplier with unusual year-end transactions requires related-party and fraud-risk assessment even if amounts are below one routine approval limit. Investigate substance, authorisation, evidence and disclosure rather than assume related parties are inherently fraudulent.

3. Report communication

Discuss significant findings and proposed adjustments with management and governance through the appropriate process. Distinguish key audit matters, emphasis paragraphs and modified opinions. None should be used as a decorative substitute for the correct reporting response.

4. Limits of assurance

An audit provides reasonable assurance within its framework. Management remains responsible for records, controls and financial statements. Use the applicable NSA edition and appropriate report wording; the opinion requires professional judgement supported by the actual audit file.

5. The opinion responds to a particular reporting problem

An unmodified opinion requires sufficient appropriate evidence supporting the conclusion that the financial statements are prepared, in all material respects, under the applicable framework. A modified opinion is not a general warning about business risk. Identify whether the problem is a material misstatement or an inability to obtain sufficient evidence, then assess its pervasiveness under the relevant standard.

A qualified opinion can address a material but non-pervasive matter. An adverse opinion addresses material and pervasive misstatement. A disclaimer concerns inability to obtain evidence where the possible effects are material and pervasive. An emphasis-of-matter paragraph draws attention to an appropriately presented or disclosed matter; it does not repair a misstatement or substitute for a required modified opinion.

6. Going concern needs evidence and disclosure

Management's assessment should consider expected cash flows, financing, obligations and conditions affecting continued operations. The auditor examines the assumptions and supporting evidence rather than relying solely on a positive budget or a shareholder's verbal promise. A support letter needs assessment of the provider's ability and commitment to provide support.

For a Nepal company with an overdue loan and recurring losses, a realistic forecast includes repayments, tax liabilities and the timing of collections. If the financing plan depends on an unapproved refinancing, that dependency remains visible. The accounting basis, adequacy of disclosure and existence of a material uncertainty lead to different audit-report considerations; none can be settled by the loan balance alone.

7. Related parties and fraud affect the work before the report

An undisclosed related-party supplier may change the risk assessment, transaction testing and disclosure evaluation. Fraud risk likewise requires professional scepticism, consideration of management override and an appropriate response to identified concerns. A clean reconciliation does not establish that transactions had a genuine commercial purpose.

The auditor documents the facts, communications with the appropriate level of management or governance, further procedures and reporting conclusion. Where an STR duty arises, ICAN's guidance requires a separate confidential reporting process. The audit report can address a financial-statement or legal-reporting consequence without stating that an STR was filed. The final wording must be selected under the effective Nepal standards for the engagement.
