VAT Registration in Nepal — Thresholds, Mandatory & Voluntary Registration
Applicable period: FY 2083/84
Primary law: VAT Act, 2052 — Sections 9 and 10 Primary rules: VAT Rules, 2053 — Rule 6, 27th Amendment
A person carrying on taxable transactions may be required to register for VAT.
The principal current turnover thresholds are:
| Taxable activity | Previous 12-month turnover |
|---|---|
| Goods | More than NPR 50 lakh |
| Other ordinary taxable services | More than NPR 30 lakh |
| Mixed goods + services | More than NPR 30 lakh |
The current VAT Rules, including the 27th Amendment, contain these thresholds.
Registration can also become mandatory in certain situations even where turnover is below these figures.
1. Ordinary threshold categories
Threshold Is Based on Taxable Turnover
The threshold relates to VAT-taxable activity.
A business should therefore classify:
taxable turnover;
exempt turnover;
mixed activities;
before concluding whether the threshold has been crossed.
Do not simply compare total accounting revenue with NPR 50 lakh or NPR 30 lakh without understanding the VAT character of the transactions.
Goods — NPR 50 Lakh
A person carrying on taxable transactions in goods generally falls outside the small-business exemption once turnover exceeds: NPR 5,000,000 during the relevant 12-month period.
Example: Taxable goods turnover:
NPR 5,200,000
The business should immediately review VAT registration requirements.
Services — NPR 30 Lakh for the Ordinary Other-Service Category
For other taxable services, the ordinary registration threshold is NPR 3,000,000 over the previous twelve months. The current Rules separately place specified vehicle-rental and transport services in the NPR 5,000,000 category. Identify the precise service and any mandatory-registration requirement before applying a turnover threshold. VAT-exempt supplies also require a separate Schedule 1 analysis.
Mixed Goods and Services — NPR 30 Lakh for the Ordinary Other-Service Category
The ordinary threshold for taxable mixed goods and services is NPR 3,000,000 over the previous twelve months. For example, goods sales of NPR 1,600,000 plus repair services of NPR 600,000 total NPR 2,200,000. That total does not exceed the current ordinary mixed-business threshold. A separate mandatory-registration requirement may still apply. If the same business instead records NPR 3,200,000 of taxable mixed turnover, it exceeds the ordinary threshold; do not apply the higher goods-only threshold merely because goods are the larger component.
2. Rolling and expected turnover
Threshold Looks Back Over 12 Months
The Rules refer to turnover during the previous 12 months.
This means VAT registration should be monitored continuously.
It is not enough to ask only:
“What was turnover in the last fiscal year?”
A growing business can cross the threshold during the year.
Expected Turnover
VAT registration can also require forward-looking analysis where circumstances indicate that future taxable turnover will exceed the prescribed threshold.
Businesses should not deliberately wait until year-end where it is already apparent that registration is required.
3. Independent registration triggers
Taxable Import — Separate Mandatory Rule
The current VAT Rules provide a separate compulsory-registration trigger for taxable imports.
Subject to the statutory exception, a person importing taxable goods worth more than: NPR 10,000 in one transaction
is required to register.
This is an important exception to the normal turnover-threshold approach.
Business Bank Loan — Check Mandatory Registration
IRD's current public FAQ also identifies receipt of more than: NPR 1,000,000 of annual business loan from a bank
as a circumstance requiring VAT registration, together with the other persons specified under Section 10(2).
Because this is a statutory mandatory-registration category rather than the Rule 6 small-business exemption and Rule 7 turnover test, businesses taking material bank borrowing should specifically confirm their VAT status.
4. Voluntary registration and existing PAN
Voluntary Registration
A taxable business below the compulsory threshold may apply voluntarily.
The VAT Directive explains the voluntary-registration framework for small taxable businesses.
Potential benefits:
claim eligible Input VAT;
transact with VAT-registered customers;
participate in supply chains requiring VAT invoices;
facilitate specified government/institutional business.
Potential costs:
periodic VAT return filing;
VAT invoice controls;
detailed purchase/sales books;
compliance and audit exposure.
Voluntary registration should therefore be a commercial and tax decision.
One PAN — Not Separate Income Tax and VAT PANs
IRD confirms that Income Tax and VAT use the same PAN.
A business already holding Business PAN does not obtain another PAN merely because it becomes VAT registered.
Instead: Business PAN → VAT registration added to the same taxpayer identity.
5. Where and when to register
Where to Register
VAT registration is handled through:
Inland Revenue Office; or
Taxpayer Service Office;
using IRD's Taxpayer Portal/registration process.
IRD states that organisations authorised merely to issue PAN cannot themselves complete VAT registration.
Registration Timing
Once the registration requirement arises, the taxpayer should act promptly.
The VAT Rules contain specific application/registration periods, including a 30-day registration requirement in specified threshold-excess situations.
Delaying registration after it becomes legally required can create:
assessment exposure;
invoicing problems;
customer-credit issues;
interest/penalty consequences.
VAT Registration Is Not Optional After Threshold
A business cannot lawfully avoid VAT registration by:
splitting one business between artificial names;
suppressing invoices;
dividing mixed activity artificially;
treating taxable turnover as exempt without legal basis.
The current Rules also permit the tax officer to treat purchases, sales, stock and warehouses together in determining turnover where supplies cannot properly be separated.
6. Worked examples
Example — Goods Business
Previous 12-month taxable goods turnover: NPR 4,800,000
VAT registration under ordinary threshold: Not yet mandatory solely under the NPR 50 lakh threshold.
One month later cumulative 12-month turnover: NPR 5,100,000
Registration requirement: Review immediately.
Example — Consultancy Business
A consultancy with NPR 2,500,000 of taxable turnover during the previous twelve months does not exceed the ordinary NPR 3,000,000 other-service threshold solely on that amount. It must still check any independent mandatory-registration requirement. At NPR 3,200,000 of taxable consultancy turnover, the ordinary threshold is exceeded and the registration obligation must be addressed under the applicable Rules.
Example — Exempt Business
Total revenue: NPR 8,000,000
But suppose all transactions genuinely fall within VAT-exempt Schedule 1 supplies.
The threshold analysis is different because the business is not simply making NPR 8 million of ordinary taxable supplies.
Taxable/exempt classification comes before threshold testing.
7. Registration checklist
VAT Registration Checklist
Identify all activities
Separate taxable and exempt supplies
Goods/service/mixed?
Calculate rolling 12-month turnover
Check NPR 50 lakh threshold
Check NPR 30 lakh threshold
Check taxable-import rule
Check business-loan mandatory category
Check Section 10 special categories
Consider voluntary registration
Confirm existing PAN
Complete VAT registration
Update billing system
Start tax invoices only after registration
Establish VAT records/return process
Common Errors
Using NPR 50 lakh for a mixed goods/service business
Checking only fiscal-year turnover instead of rolling 12 months
Assuming PAN registration means VAT registration
Ignoring compulsory import-related registration
Registering voluntarily without understanding ongoing compliance
Collecting VAT before registration
Further guidance and practical checks
The VAT threshold is only one registration test. Businesses should review other compulsory-registration provisions whenever they import taxable goods, borrow materially for business, or fall into a specifically designated statutory category.
