Share Succession, Company Security and Merger — Records Before Corporate Restructuring
Share transmission following death, registration of security over company assets and merger are distinct processes. Transmission arises from succession evidence; a sale transfer arises from a transaction between parties. A loan agreement records borrowing terms, while registrable charges require the statutory filing analysis. A merger can change assets, liabilities, ownership and corporate existence and should not be treated as a simple register edit.
1. Succession file
Identify the deceased shareholder, the registered holding, legal heir or representative, succession documents, any dispute and the company's applicable constitution. Verify legal entitlement before updating the register. Preserve board consideration and the resulting entries and certificates. Do not obtain signatures from the deceased person's old access credentials or treat a nominee name as conclusive without the governing law and evidence.
Tax consequences require separate analysis. Finance Act 2083 changes section 57's ownership-change proviso, including specified involuntary transfers on death; those conditions must be checked against the actual structure rather than extended to every later sale by heirs.
2. Security and borrowing file
| Record | Purpose |
|---|---|
| Corporate borrowing approval | Establish authority and limits |
| Loan/security agreement | Identify creditor, obligations and collateral |
| Asset title and existing charges | Establish ownership and competing interests |
| Registration analysis | Identify required registries, timing and particulars |
| Filing/registration evidence | Prove completion rather than application |
| Release/discharge record | Update the registered position on settlement |
An OCR record does not replace land, movable-security or sector registry requirements where those apply. Conversely, a bank's possession of documents is not proof that the company completed every statutory filing.
3. Reconcile each register to its legal event
A succession register entry should identify the holding transferred, the person receiving it, the accepted entitlement evidence and the effective decision. If competing claims remain, preserve the disputed position and the competent authority's direction. Avoid issuing a replacement share certificate merely because a relative supplies a copy of the deceased shareholder's citizenship document. The relationship evidence and legal right to the shares must be established.
For security, reconcile the loan amount, lender, charged assets, priority, corporate authority and registration outcome. Keep amendments and releases with the original agreement. A repayment in the accounts does not by itself remove a registered charge. Obtain the creditor's discharge evidence and complete the applicable registry process before representing an asset as unencumbered.
4. Merger planning
Prepare a transaction plan identifying participating entities, valuation, consideration, shareholder approvals, creditor rights, employee treatment, regulatory consent and tax consequences. Reconcile the proposed post-merger capital and ownership. Check the Companies Act, sector law and current tax provisions together. Finance Act 2083 removes section 47A from the Income Tax Act; a legacy statement of merger tax relief must therefore be re-examined rather than copied into the plan.
5. Nepal example
Two trading companies propose a merger while one has a bank charge and a disputed inherited shareholding. Those issues must be resolved or expressly addressed in the approved plan. A draft merger balance sheet does not transfer legal title, settle the succession dispute or discharge the lender's security. Keep the approvals and effective legal events distinct from the accounting entries.
6. Merger closing and opening balances
OCR's company-administration guidance describes merger documentation including approved resolutions, the relevant financial statements, creditor consents and valuation information. Build a closing schedule with each required approval and its conditions. Account for employees, pending disputes, guarantees and assets that need separate transfer evidence. Obtain transaction-specific advice on the latest Companies Act and sector rules before signing an unconditional completion statement.
Suppose the accounting plan transfers a NPR 2,000,000 debtor balance and a NPR 1,500,000 bank liability to the surviving company. Confirm the underlying rights and creditor treatment, then match the approved effective event to the opening entries. The accounting difference of NPR 500,000 does not establish the share consideration or tax neutrality. Preserve a reconciliation from each predecessor's closing accounts to the survivor's opening records, with explanations for every adjustment.
7. Completion package
Retain pre- and post-transaction registers, resolutions, approvals, registry evidence, creditor consents where applicable, tax analysis and accounting reconciliation. Record unresolved disputes and filing conditions.
For a section 177 merger, submit the prescribed application to OCR within 30 days after the merger resolution. The statutory OCR decision period is three months; the applicant deadline and approval period are different. Assets and liabilities pass under the Act after approval, so a draft balance sheet or submitted application does not establish completion.
For death of the sole shareholder, section 153 requires the successor to notify OCR with entitlement evidence within one month after acquiring the right. Determine other succession and security-registry procedures from the actual facts and applicable law.
