Online Business Taxation in Nepal
Selling through a website, social platform or app does not create a separate tax-free business category. Establish the taxpayer and supplies, then keep a complete record of sales, fees, tax and payment channels.
1. Register the legal business and taxpayer
Determine whether the seller is a proprietor, company, cooperative or other entity and whether its activity needs another authority’s permission. PAN identifies the taxpayer; VAT and excise registration create additional obligations where applicable. A platform account or payment QR does not replace business or tax registration. Use the existing taxpayer record when changing an address or activity through the proper process. A new company can require its own legal-taxpayer analysis, while a proprietor changing a trade name should not simply create another PAN. Keep accepted registrations and effective dates with the business file.
2. Apply the correct VAT threshold
Current ordinary thresholds are NPR 5,000,000 for goods, transport-vehicle rental and transport services, and NPR 3,000,000 for other services and mixed goods/services. Read the relevant turnover period and prospective or unexpected-exceedance rule. Mandatory registration categories can apply separately, and exempt supplies require an exact current schedule basis. Suppose an online consultancy has relevant taxable turnover of NPR 3,500,000. That exceeds the ordinary NPR 3,000,000 service threshold; NPR 2,500,000 would not exceed that threshold by itself. An online goods seller has a different ordinary threshold. Confirm the actual activity rather than assume every internet sale uses the service category. For verified standard-rated taxable sales, the VAT rate is 13%. The pricing display should make the agreed VAT treatment clear and the customer invoice should identify the correct supplier. A platform’s invoice for commission is not necessarily the seller’s invoice for the goods.
3. Record gross sales across payment channels
Reconcile bank transfer, QR, wallet, cash, cash on delivery and platform settlement with orders and invoices. A business cannot measure revenue only from one bank account when customers use several payment routes. Retain cancellations, discounts and refunds with their original transaction references. In a reviewed intermediary arrangement, assume gross sales of NPR 100,000, platform commission NPR 5,000 and other supported deductions NPR 2,000. Ignoring separate VAT and tax questions, settlement is NPR 93,000. Recording only NPR 93,000 revenue loses the fee and deduction history. Keep gross sale, fee, applicable tax and net cash separately, then apply the correct finality and deduction rules.
4. Income tax and payer responsibilities
Taxable income is not turnover. Start with the person’s gross income and proper timing, then test expenses, stock, depreciation, losses and statutory deductions. A small-business return category has conditions beyond being a small online account. Companies and proprietors do not use the same ordinary rate schedule. An online business can also be a withholding payer when it pays salaries, rent, professional services or contractors. Classify the payment and recipient before selecting a rate. Marketplace collections under section 95A and ordinary section 88 service withholding are different provisions; do not record them all as platform commission.
5. Foreign software and advertising
Foreign hosting, SaaS, cloud software, advertising and marketplace services require source, withholding, imported-service VAT and foreign-exchange analysis. Separate software rights from support or subscriptions where the contract supports that distinction. A receipt from a foreign card processor does not establish the tax character or treaty eligibility of the supplier. Nonresident digital-service DST and VAT have their own regime. A business-use exclusion at the foreign supplier’s level does not automatically remove the Nepal recipient’s imported-service VAT or withholding obligations. Obtain a transaction-specific conclusion before choosing a payment code.
6. Customer-facing compliance and monthly close
Keep clear business identity, prices, delivery terms, returns and complaint contacts consistent with applicable law and the actual supply. Confirm current electronic-commerce listing and product-specific permissions before promising that the business is fully compliant. A refund policy should explain the real process rather than copy wording the business cannot honour. Each month, reconcile orders, invoices, inventory where relevant, collections, platform fees, returns, tax deductions and bank balances. Assign responsibility for filings and pending exceptions. This makes compliance manageable before growth introduces more channels, sellers or product categories.
