Construction Contracts in Nepal — Revenue, Retention, VAT and Procurement Controls
Construction receipts combine contract value, VAT, retention and withholding. A clear project working separates these amounts and connects progress certification to revenue, invoicing and the tax record.
1. One contract creates several accounting and tax events
A construction contract can involve advance payment, mobilisation, progress certification, retention, variation, materials and subcontracting. Each event needs its own accounting, VAT, withholding and cash analysis. The bank receipt is not a universal recognition or tax point.
Prepare a contract summary with parties, scope, price, VAT wording, payment terms, certification, retention, variation authority and completion obligations. Apply the selected reporting framework to revenue and costs, VAT law to tax points and value, and income-tax law to withholding and taxable income.
2. Contract register
| Event | Evidence and treatment to review |
|---|---|
| Advance | Contract, bank receipt, security and relevant tax point |
| Progress certificate | Approved quantity/value and invoice |
| Retention | Gross certified amount, deduction and release conditions |
| Variation | Authority, revised scope and price |
| Subcontract | Genuine work, invoice, withholding and completion |
| Final account | Settlement, defects obligation and outstanding balances |
A retention deduction does not necessarily reduce VAT value or postpone every tax consequence. Identify what has been supplied and the statutory timing rule. Similarly, a TDS deduction by the customer does not reduce gross contract revenue simply because cash is lower.
3. Nepal illustration
Assume a reviewed progress claim is NPR 1,000,000 VAT-exclusive and standard-rated at 13%. VAT is NPR 130,000. If the contract retains NPR 50,000 of the base and a separately verified withholding amount is NPR 15,000, illustrative cash is NPR 1,065,000: 1,130,000 − 50,000 − 15,000. The contractor records the full receivable components, retention and tax credit under their verified treatments. The example assumes the relevant tax point and withholding base; it does not establish a universal construction rate.
4. Public procurement interface
For government work, reconcile contract authority, bid conditions, securities, variations and payment certification with the applicable procurement law and documents. Approval by a site engineer may not be authority for every price variation. Keep the official contract and authorised amendments retrievable.
5. Project close
Reconcile cost-to-complete estimates, accrued subcontract costs, retention receivables, customer advances, VAT and TDS credits. Assess defects obligations and disputed claims under the reporting framework. Match final payment to tax certificates and contract settlement. The project file should explain profit, taxable income and cash independently rather than collapse them into one “contract balance.”
6. Current procurement documents and bid deadlines
Use PPMO’s official publication for the applicable procurement documents. Its current source listings include a 2083 amendment sequence and updated standard bidding documents. Build a contract file from the applicable current Act, Rules, notices and the specific bid document; an older ordinance or an old standard form is not enough to establish today's rule.
PPMO's urgent e-GP bidder notice is an official source for bid-submission timing. Keep the notice with the bid's own deadline and amendments. Check the calendar, holidays and any issued extension before treating a saved date as the operative closing time. The publication dates and governing scope of a general notice and a particular procurement should be recorded separately.
A useful bid-control record contains the solicitation number, procuring entity, applicable standard document/version, published closing date/time, amendments, security validity, submission acknowledgement and authorised signatory. After award, add the signed contract, performance security, insurance, approved variations, certified work and payment records. Review the legal relationship between extension of completion time and continuation of the securities; neither should be assumed from an informal site instruction.
Check current statutory thresholds, review periods and the specific contract conditions in the complete applicable documents. Retain the provision and version relied upon with the procurement file.
7. A public-sector VAT deduction is a separate amount
VAT Rules rule 6 C addresses specified government and government-owned payers. Where it applies, the payer deposits 30% of the VAT amount in the supplier’s name and pays the remaining VAT to the supplier. This is separate from income-tax withholding and from retention under the construction contract. A private customer should not apply the government-payment mechanism merely because the work is construction. For the NPR 1,000,000 standard-rated progress claim above, the VAT is NPR 130,000. If the reviewed public-payer rule applies, NPR 39,000 is deposited against VAT. Keeping the assumed NPR 50,000 retention and NPR 15,000 income-tax withholding, cash to the contractor would be NPR 1,026,000. The contractor must reconcile the NPR 39,000 government VAT deposit, the income-tax credit, retention receivable and cash independently. The original private-payer illustration excludes this additional mechanism. The statement from the payer should identify the supplier’s PAN, relevant tax period, gross claim, each deduction and deposit evidence. Investigate differences before releasing the subcontractor or closing the project. Missing government VAT-deposit information can leave a correct invoice apparently unmatched in the taxpayer record.
