Commission, Consultancy, Director Fees and Royalties — Withholding Classification
The same commercial payment label can lead to different withholding treatment. Read the agreement, identify the recipient and distinguish a service fee, employment payment, contract amount and payment for rights before choosing a rate.
1. Read the contract before selecting the code
Sales commission, professional fees, director remuneration, technical assistance, management services, royalties and insurance-related payments should be classified by substance. Identify whether the recipient acts as an employee, independent supplier, director, agent or rights owner. A single invoice headed “consultancy” can contain both services and a licence fee.
Sections 87, 88 and 89 and any specific collection provision provide the starting framework. Residency, VAT status and the exact statutory exception can affect the result. Treaty and source questions arise for foreign recipients, and foreign-exchange permission remains a separate obligation.
2. A current change for insurance agents
Finance Act 2083 adds a 20% deduction for service fees or commission paid to a resident natural-person insurance agent under section 88(1), and adds that category to section 92 final withholding. This change must not be generalised to every insurance payment, every company agent or every sales commission. Reconcile the recipient's identity and the payment category before applying it.
3. Payment-classification worksheet
| Payment | Investigate before applying a rate |
|---|---|
| Sales commission/bonus | Agency arrangement, recipient and relationship to sale |
| Professional/consultancy fee | Independent service, residency and qualifying VAT status |
| Director/meeting fee | Board role, employment relationship and specific category |
| Royalty | Rights granted, territory, duration and beneficiary |
| Technical/management service | Scope, delivery, benefit and related-party pricing |
| Insurance/investment payout | Policy/fund nature, gain component and specific provision |
Do not apply an exception for VAT-registered services when registration and invoice evidence are missing or the payment belongs to a different category. Likewise, a foreign company address does not itself prove treaty residence or beneficial ownership.
4. Contract example
A Nepal company agrees to pay a foreign group company NPR 1,000,000 equivalent for software rights and support. The file should separate the rights and services according to the actual contract and defensible allocation, then analyse domestic source, royalty/service classification, treaty conditions, withholding base and any gross-up. An invoice split created after payment is weak evidence if the contract supplies one bundled right.
Assume, solely for arithmetic, the reviewed withholding rate is 10% and the agreed gross fee is NPR 1,000,000. Tax is NPR 100,000 and the net remittance is NPR 900,000. If the contract promises NPR 1,000,000 net and the same assumed rate legally applies to the grossed-up amount, gross consideration is NPR 1,111,111.11 and tax NPR 111,111.11. The example demonstrates the contract effect, not a Nepal rate conclusion.
5. Release controls
Retain the agreement, invoice, recipient identification, residency evidence where relevant, VAT verification, rate provision, finality conclusion, payment approval and deposit evidence. Related-party technical or management fees additionally require evidence that a service was received and pricing is supportable. A withholding deposit does not itself prove the expense is deductible or that the bank may remit the payment.
6. The main domestic service distinction
Section 88 starts with a 15% rate for ordinary service fees, commissions and royalties, subject to its specific rules. The qualifying 1.5% service category includes services paid to a VAT-registered resident provider and services paid to a resident entity carrying on VAT-exempt transactions. A PAN-only invoice from an individual consultant is therefore different from an invoice issued by a qualifying exempt resident entity. Verify the category instead of treating the absence of a VAT line as conclusive. A resident natural-person insurance agent has a separate 20% rate in FY 2083/84, with the payment added to the final-withholding framework. If an agent earns NPR 200,000 in qualifying commission, withholding is NPR 40,000 and cash before other adjustments is NPR 160,000. This specific rule should not be applied to an ordinary goods-sales agent or an insurance company receiving another type of payment.
7. Director work and employee work
A director may receive remuneration under an employment relationship and separately receive board or meeting fees. Analyse the capacity in which each payment is earned. Employment income belongs in the section 87 annual payroll calculation; an independent service or other specified payment needs its own classification. Maintain the appointment, approved remuneration, attendance or service evidence and payment record so that a later reviewer can understand the choice. For a royalty, describe the right actually granted: copyright, software rights, trademark, technical knowledge or another asset. Record territory, duration and any related support service. Foreign recipients require the source and treaty analysis as well as domestic classification. For related parties, demonstrate the benefit and pricing support. Tax withheld and foreign-exchange permission do not establish that an unsupported charge is deductible.
